Terms of Service

These Terms of Service (the “Terms”) are a binding agreement between you and Neuroflix (“Neuroflix”, “we”, “us” or “our”) and govern your access to and use of our website, applications and services (the “Service”). By creating an account, uploading content, or otherwise using the Service, you confirm that you have read, understood and agree to be bound by these Terms and by our Privacy Policy, which is incorporated here by reference.

If you do not agree with these Terms, do not use the Service. If you are using the Service on behalf of an organisation, you represent that you are authorised to bind that organisation, and “you” refers to that organisation.

Neuroflix is a creative tool that helps you make your own short-form video in the style of a popular online video trend. You provide a script, a recording of yourself speaking, and reference photos of yourself. We then use third-party artificial-intelligence models to generate and edit video scenes, sync music, add captions, and produce a finished vertical video that you can download and share.

The Service produces synthetic, AI-generated media: the scenes are computer-generated approximations based on your inputs, not real recordings of the events they depict. Output quality, likeness accuracy and timing will vary, and the Service may not always produce the result you intended.

Neuroflix is an independent tool. We are not affiliated with, endorsed by, sponsored by, or connected to any person who originated, popularised or appears in the underlying video trend, nor with any brand, song, or rights holder referenced by that trend. All names, trademarks and marks referenced or used by you remain the property of their respective owners.

The Service is designed to let you create an original, transformative work (your face, your name, your words) built on the general structure and aesthetic of a widely-imitated format. It is your responsibility to ensure that the videos you create and the way you use them are lawful in your jurisdiction, including any reliance on parody, satire or fair-use principles, which vary by country.

You must be at least 18 years old (or the age of majority in your jurisdiction, if higher) to use the Service. The Service involves the processing of facial and voice data to generate a likeness; we do not knowingly permit the use of the Service by, or the creation of any content depicting, a minor.

You may not use the Service if you are barred from doing so under applicable law, or if your account has previously been suspended or terminated by us.

You access the Service through an account managed by our authentication provider. You are responsible for safeguarding your login credentials and for all activity that occurs under your account. You agree to provide accurate information and to keep it up to date, and to notify us promptly of any unauthorised use of your account.

“Your Content” means everything you upload, record, submit or create through the Service, including your speaking take, reference photos, scripts, any optional closing clip, and the finished videos generated for you. As between you and us, you retain all rights you hold in Your Content and in the finished videos, subject to the licences and third-party terms described below.

You are solely responsible for Your Content and for the consequences of uploading it and of using the videos you create.

Because the Service creates an AI-generated likeness of a real person from the photos, video and voice you upload, the following representations are essential. By uploading any content depicting a person, you represent and warrant that:

• the person depicted is you, or is a real, identifiable adult who has given you their explicit, informed and verifiable consent to upload their likeness and voice and to have an AI version of them generated, edited and shared;
• you have obtained all rights, releases and permissions necessary for us to process that person’s face, voice and likeness to create, store and deliver the generated videos;
• the person depicted is an adult and is not a public figure, celebrity or third party being impersonated without consent;
• you understand and accept that the output is a synthetic, AI-generated depiction, and that you are responsible for clearly disclosing that it is AI-generated wherever required by law or platform policy.

We may, but are not obliged to, use automated or manual review to help enforce these requirements. We do not perform identity verification in every case and rely on the truthfulness of your representations. Details of how we process facial and voice data are set out in our Privacy Policy.

Solely to operate and provide the Service, you grant us a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, modify (for example, to trim, restyle and re-time clips), transmit to our third-party AI and infrastructure providers, and create derivative works from Your Content. This licence exists only so that we can generate and deliver your videos and run the features you ask for.

We do not sell Your Content, and we do not use your uploaded likeness to train foundation models for our own purposes. The licence ends when you delete the relevant content or your account, except for copies retained as required by law or in routine backups for a limited period, and except to the extent the content has already been shared by you.

Subject to your compliance with these Terms and to the terms of the underlying model providers, you own the finished videos you generate and may use them for personal or commercial purposes. Because of how generative models work, we cannot guarantee that any output is unique, and similar output may be generated for other users from similar inputs.

AI output can contain inaccuracies, artefacts or unexpected results. You are responsible for reviewing every video before you publish or share it, and for ensuring it complies with the rules of any platform you post it to, including any requirement to label AI-generated or synthetic media.

You agree that you will not use the Service to:

• create, upload or distribute a depiction of any person without their consent, or of any minor;
• impersonate, defraud, deceive or mislead others, including creating “deepfakes” intended to make someone appear to say or do something they did not;
• produce sexual, sexually explicit, intimate or nude depictions of any person, or any content that sexualises a minor;
• harass, threaten, defame, bully, or incite violence or hatred against any person or group;
• create election, political or public-safety misinformation, or content designed to manipulate or deceive the public;
• infringe anyone’s intellectual-property, privacy, publicity or other rights;
• violate any applicable law or regulation, or any third-party platform’s terms;
• reverse engineer, scrape, overload, or attempt to gain unauthorised access to the Service or its providers, or circumvent any usage limits or safety measures.

We may remove content, and suspend or terminate accounts, that we reasonably believe violate these rules.

The Service relies on third-party providers for AI generation, authentication, storage, hosting and rendering. Your use of the Service, and the content you generate, may also be subject to those providers’ terms and acceptable-use and content policies. We are not responsible for third-party services and do not control their availability, output or decisions. Your inputs are transmitted to AI providers strictly to generate your videos.

The Service, including its software, design, text, and the Neuroflix name and logo, is owned by us or our licensors and is protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service for its intended purpose. These Terms do not transfer any of our intellectual property to you, other than the rights in your finished videos described above.

We respect intellectual-property rights. If you believe content made available through the Service infringes your copyright or other rights, contact us at general@neuroflix.sg with enough detail to identify the work, the allegedly infringing material, and your contact information. We may remove infringing content and terminate repeat infringers.

The Service, or parts of it, may currently be offered free of charge. We may introduce paid plans, per-video pricing, usage limits or credits in the future, and we will make the applicable terms available before you incur any charge. We may also add, change, suspend or discontinue any part of the Service at any time.

The Service is provided “as is” and “as available”, without warranties of any kind, whether express, implied or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, secure or error-free, or that any output will meet your expectations or be accurate, lawful for your intended use, or fit for any particular purpose.

To the maximum extent permitted by law, Neuroflix and its officers, employees and suppliers will not be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of profits, data, goodwill or reputation, arising out of or related to your use of (or inability to use) the Service or any content generated through it.

To the maximum extent permitted by law, our total liability for all claims relating to the Service will not exceed the greater of the amount you paid us for the Service in the twelve months before the claim, or one hundred US dollars (US$100). Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

You agree to defend, indemnify and hold harmless Neuroflix and its officers, employees and suppliers from and against any claims, liabilities, damages, losses and expenses (including reasonable legal fees) arising out of or related to: (a) Your Content and the videos you generate; (b) your use of the Service; (c) your violation of these Terms; or (d) your violation of any law or of the rights of any third party, including any claim that you uploaded or used a person’s likeness or voice without the required consent.

You may stop using the Service and delete your account at any time. We may suspend or terminate your access to the Service, with or without notice, if we reasonably believe you have violated these Terms or created legal risk for us or others. Provisions that by their nature should survive termination, including content licences you have granted for already-shared videos, disclaimers, limitations of liability and indemnities, will survive.

These Terms are governed by the laws applicable at our principal place of business, without regard to conflict-of-laws rules, and you agree to the exclusive jurisdiction of the courts located there, except where mandatory local consumer-protection law provides otherwise. Nothing in these Terms limits any non-waivable statutory rights you may have as a consumer.

We may update these Terms from time to time. When we make material changes, we will update the “last updated” date above and, where appropriate, give you additional notice. Your continued use of the Service after the changes take effect means you accept the revised Terms.
